If you are a consumer in the EU/EEA or the United Kingdom, the foregoing disclaimer does not affect your statutory rights, including any rights under the EU Digital Content Directive (Directive (EU) 2019/770) or the UK Consumer Rights Act 2015 regarding the conformity of digital content and digital services.
  23. Subscription, Fees and Payments

This Section 6 applies to users who subscribe to a paid tier of the Platform. If you use only the free tier, this Section 6 does not apply to you except to the extent you later upgrade to a paid subscription.

  1. Charges. You authorize Stripe, Inc. (“Stripe”), our third party payment processor to charge your credit card, debit card, or other payment mechanism selected by you and approved by us (“Payment Method”) for all amounts due and owing in connection with your use of the Platform, including set-up fees, one-time fees, non-recurring fees, overages, per-use charges, subscription fees, recurring fees, and any other fees and charges associated with the Platform or your account (“Charges”). Payment information you provide at checkout is collected and processed directly by Stripe; we do not receive or collect your payment information. You agree to promptly update your Payment Method to allow for timely payment. Changes made to your Payment Method will not affect Charges that we submit to your chosen Payment Method before we could reasonably act on your changes. Additionally, you agree to permit Stripe to use any updated Payment Method information provided by your issuing bank or the applicable payment network and to charge your current primary Payment Method, even if such Payment Method is declined. We further reserve the right to use your backup Payment Method to the extent one is provided. By adding a backup Payment Method, you authorize us to process any applicable Charges on your backup Payment Method if your primary Payment Method is declined. By making a payment, you also agree to Stripe’s applicable terms https://stripe.com/legal/ssa and acknowledge Stripe’s Privacy Policy https://stripe.com/privacy. We are not responsible for Stripe’s acts or omissions, except to the extent required by applicable law.
  2. Non-Cancelable and Non-Refundable Charges. You agree that all payments are non-cancelable for the Initial Subscription Term (meaning the initial subscription period selected at signup) or the then-current Renewal Term (meaning each successive renewal period), as applicable, and are final and non-refundable, unless otherwise agreed to by us, required by applicable law.
  3. Changes to Pricing. We may change prices for the Platform at any time, in our sole discretion. For changes to your Charges, we will provide you with not less than (i) thirty (30) calendar days prior notice, or (ii) the time period prescribed by applicable Law (each, (i) and (ii), a “Rate Change FinalFinal, LLC – Terms of Use
  4. Notice”). Any changes to your Charges will be effective upon the commencement of your next Renewal Term or other date calculated in accordance with applicable Law. If you seek to terminate or modify your subscription in response to a Rate Change Notice, then you must terminate or modify your subscription within the applicable Rate Change Notice time period. If you do not terminate or modify your subscription within the applicable Rate Change Notice time period, then you shall be deemed to have automatically accepted the change to your Charges, unless your affirmative, express consent to such change is required under applicable Law. If required by applicable Law, we will remind you of your termination and modification right, any applicable time period, and the consequences of not terminating.
  5. Promotional Rates and Discounts. A discount or promotional price may expire without additional notice to you, unless otherwise specified or as required by applicable Law. We reserve the right to discontinue or modify any promotion, discount, sale, or special offer in our sole discretion.
  6. Collection of Charges. You agree that if we are unable to collect the Charges through your Payment Method, we may, to the extent not prohibited by applicable Law, take any other steps we deem necessary to collect such Charges from you and that you will be responsible for all costs and expenses we incur in connection with such collection activity, including collection fees, court costs, and reasonable attorneys’ fees. You further agree that, to the extent not prohibited by applicable Law, we may collect interest at the lesser of 1.5% per month or the highest amount permitted by Law on any Charges not paid when due.
  7. Termination or Suspension for Nonpayment. Without limiting our rights under any other section of these Terms, if any failure to pay Charges continues for five (5) calendar days following the due date, we may terminate, suspend, or disconnect your access to the Platform immediately and without prior notice.
  8. Billing Communications. You agree that we may contact you via email or otherwise at any time with information relevant to your use of the Platform, including billing communications, regardless of whether you have opted out of receiving marketing communications or notices.
  9. Withdrawal; Cooling-Off Period. If under applicable Law you have a time period to terminate your subscription based on a right of withdrawal, or a cooling-off period, you may request to terminate the affected subscription in accordance with applicable Law and, if applicable, receive a pro rata refund of any prepaid and unused Charges. You may contact us at [Email Address] with any such request. If access to the Platform begins before any withdrawal or cooling-off period, or you fail to terminate your subscription during the right of withdrawal or cooling-off period, then you acknowledge that you lose any termination rights under this Section 6.8. Nothing in this Section 6.8 is intended to limit or exclude any of your rights that cannot be limited or excluded under applicable Law. For EU/EEA consumers, the statutory withdrawal period is 14 days from the date of purchase or subscription activation, as provided under the EU Consumer Rights Directive as implemented in your country.
  10. Cancellation: In order to terminate or modify your subscription, you must provide notice to us, via the billing portal (if available for your account) or by email to [Email Address] in accordance with the Renewal Notice Period. Any statutory rights you may have under the applicable Laws to terminate your subscription at an earlier time during the Initial Subscription Term or any Renewal Term remains unaffected by this clause, and, if required by applicable Law, we will send you a reminder notice prior to the commencement date of the Renewal Term (and in accordance with the FinalFinal, LLC – Terms of Use
  11. notice periods specified in these Terms or other such deadline set by applicable Law that may apply to you) reminding you of your right to terminate your subscription and how to do so.
  12. User Responsibility
  13. You are solely responsible for the music files you upload, store, or share through the Platform. You agree to abide by and ensure compliance with all the terms and conditions of these Terms. If you allow any third party to access the Platform through your account, you remain responsible for their actions and compliance with these terms.
  14. We assume no responsibility or liability for violations of these Terms by any third party you allow to access the Platform. If you become aware of any violation of these Terms, you must contact us at support@finalfinal.pro.
  15. Liability for Content and Data. To the maximum extent permitted by applicable law, we are not liable for any data or other content viewed through the Platform, including any errors or omissions, or any loss or damage resulting from your use, access to, or inability to access any data or other content. You agree to indemnify and hold us, our affiliates and our successors and assigns, harmless from any such liabilities.
  16. Investigation of Use. We may investigate complaints and violations and may take action, in our sole discretion, including issuing warnings, suspending subscriptions, removing content, terminating accounts, or taking other reasonable actions.
  17. You are solely responsible for compliance with all laws and regulations pertaining to your content, including laws requiring you to obtain third party consent. We may delete any content, at any time without notice if we become aware that it violates these Terms or applicable law. You retain all ownership rights in your content subject to any license or other rights granted herein. You agree not to upload, store, or share any files that are illegal, infringing, or harmful.
  18. Account Deletion and Termination

You may request deletion of your account at any time through the account setting or by contacting us at support@finalfinal.pro. When you delete your account, any Stripe subscription associated with your account will be cancelled, and we will delete the files, spaces, and permissions associated with your account. Messages you posted in other user’s spaces will remain in those spaces but will no longer be linked to your account.

If you breach these Terms, we may immediately suspend or terminate your access to the Platform. We may also terminate these Terms for any reason on thirty (30) business days’ notice. Termination does not affect your obligation to pay outstanding Charges. We may retain Charges already paid unless prohibited by applicable law. If we suspend your access to the Platform because you breached these Terms, you remain liable for Charges due during the suspension.

  1. Intellectual Property
  2. The Platform and its original content, features, and functionality are and will remain the exclusive property of us and our licensors.
  3. The Platform is protected by copyright, trademark, and other laws of both the United States and other jurisdictions. We and our affiliates, our licensors, and suppliers (as applicable) own and retain ownership of (i) all data generated through the Platform, (ii) all Feedback (as provided in Section 17.4), (iii) the Platform, and any underlying or other technology and intellectual property embodied or contained in, used to provide or support, or otherwise associated with the Platform, including all Proprietary Rights (meaning all intellectual property rights, including patents, copyrights, trademarks, trade secrets, and other proprietary rights) related thereto, and (iv) all trade names, trademarks, service marks, trade dress, logos, icons, insignia, symbols, interface and other designs, domain names and corporate names, and the like (whether registered or unregistered) (“FinalFinal Marks”) associated or displayed on the Platform, together with the goodwill associated with any of the foregoing FinalFinal Marks (all of the foregoing, collectively “FinalFinal Property”). You may not frame or utilize framing techniques to enclose any FinalFinal Marks, or other proprietary materials or information (including images, text, page layout, or form) without our express prior written consent. You may not use any meta tags or any other “hidden text” utilizing FinalFinal Marks without our express prior written consent.
  4. Reservation of Rights. We reserve all rights not expressly granted to you in these Terms. Except for the limited rights and licenses expressly granted under these Terms, nothing in these Terms grants, by implication, waiver, estoppel, or otherwise, to you or any third party acting on your behalf, any Proprietary Rights or other right, title, or interest in or to any FinalFinal Property or the property of its affiliates, parent companies, or other intellectual property.
  5. Limitation of Liability
  6. Cap on Liability. IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS (WHETHER IN CONTRACT OR TORT OR UNDER ANY OTHER THEORY OF LIABILITY) EXCEED THE TOTAL AMOUNT OF CHARGES PAID OR OWING BY YOU UNDER THESE TERMS IN THE THREE (3) MONTHS PRECEDING THE INCIDENT OR IF NONE, FIVE HUNDRED US DOLLARS ($500.00).
  7. Exclusion of Damages. IN NO EVENT SHALL WE OR ANY OF OUR AFFILIATES HAVE ANY LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS FOR ANY LOST PROFITS, REVENUES, GOODWILL, OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, BUSINESS INTERRUPTION, PUNITIVE OR EXEMPLARY DAMAGES, WHETHER AN ACTION IS IN CONTRACT OR TORT AND REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF YOUR REMEDY OTHERWISE FAILS OF ITS ESSENTIAL PURPOSE. THIS DISCLAIMER WILL NOT APPLY TO THE EXTENT PROHIBITED BY LAW.
  8. Commencement of Claims. Except for actions for non-payment or breach of either party's intellectual property rights, no action (regardless of form) may be commenced by either party more than one (1) year after the cause of action has accrued.
  9. Consumers in the EU/EEA and UK. Nothing in this Section 10 excludes or limits our liability for (i) death or personal injury caused by our negligence, (ii) fraud or fraudulent misrepresentation, (iii) any breach of obligations implied by applicable consumer protection law that cannot be excluded or limited by contract, or (iv) any other liability that cannot be excluded or limited under applicable mandatory law. The limitations and exclusions in this Section 10 apply only to the extent permitted by the laws of your jurisdiction.
  10. Indemnification
To the extent not prohibited by applicable Law, you agree to indemnify, defend, and hold us and our affiliates and each of our licensors and suppliers (the “Indemnified Parties”) harmless, including their respective officers, directors, employees, shareholders, members, consultants, and agents from and against any third party allegation, claim, proceeding, liability, damage, or cost (including reasonable attorneys’ fees) arising out of or related to (i) your use of the Platform, (ii) your breach of these Terms or violation of applicable law, (iii) your infringement or violation of any Proprietary Rights or other right of any person or entity, (iv) your relationship with third parties acting on your behalf, or (v) your acts or omissions resulting in personal injury or property damage to a third party.

If you are a consumer habitually resident in the EU/EEA or the United Kingdom, the indemnification obligation in this Section 11 applies only to the extent permitted by the mandatory consumer protection laws of your jurisdiction. Nothing in this Section 11 requires you to indemnify us for losses caused by our own negligence, willful misconduct, or breach of these Terms.
  11. Governing Law

These Terms shall be construed in accordance with and governed by the laws of the State of California, without reference to their rules regarding conflicts of law. You hereby irrevocably consent to the exclusive jurisdiction of the state or federal courts in the State of California in all disputes arising out of or related to the use of the Platform.

Nothing in these Terms prevents you or us from bringing a proceeding before the United States Patent Trial and Appeal Board, the United States Trademark Trial and Appeal Board, the United States Patent and Trademark Office, the United States Copyright Office, or any foreign patent, trademark, or copyright office, including a nullity proceeding, concerning the validity, enforceability, or unenforceability of an intellectual property right owned or assigned to you or us.

  1. Dispute Resolution

By using the Platform, you agree that Covered Disputes with us will be resolved by binding arbitration rather than in court. An arbitrator, not a judge or jury, will decide those disputes. You and we waive any right to bring or participate in a class, collective, private attorney general action, representative or mass action except as provided in this Section 13 (the “Arbitration Agreement”).

  1. Covered Disputes. You agree that any dispute or claim between you and us arising out of or relating to these Terms or use of the Platform, your account, any marketing communications, or any aspects of your relationship or transactions with us (a “Covered Dispute”), will be resolved by binding arbitration. A Covered Dispute includes claims based on facts that occurred before these Terms, or an earlier version took effect and claims that arise after these Terms end. Lawsuits and arbitrations may affect you, and agreeing to this Arbitration Agreement may affect your ability to participate in them.
  2. Exceptions to Arbitration. This Arbitration Agreement does not require arbitration of (i) an individual claim in small claims court, if the claim meets the court’s requirement; and (ii) claims concerning intellectual property rights, including trademarks, trade dress, domain names, trade secrets, copyrights or patents.
  3. Informal Dispute Resolution. Before starting arbitration, send an individualized written Pre-Arbitration Demand to ATTN: Legal Department, FinalFinal, 1600 National Avenue, San Diego, CA 92113. Include your name, telephone number, mailing address, email address associated with your account, your counsel’s contact information (if any), a description of the Covered Dispute, FinalFinal, LLC – Terms of Use

  1. and your signature. If we have a Dispute with you, we will send our demand to the email address associated with your account. The party seeking arbitration must complete this process and wait 60 calendar days after a pre-arbitration demand is submitted before starting arbitration. This requirement does not apply to claims described in Section 13.2(ii). You agree that compliance with this Section 13.3 is a condition precedent to commencing arbitration, and that the arbitrator shall dismiss any arbitration filed without fully and completely complying with these informal dispute resolution procedures.
  2. Binding Arbitration. All claims and disputes in connection with these Terms or use of the Platform that cannot be resolved through good faith negotiation, shall be resolved by binding arbitration on an individual basis under the terms of this Section 13. This Arbitration Agreement applies to you, us and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors and assigns as well as all authorized or unauthorized users or beneficiaries of Platform under these Terms. Arbitration shall be administered through the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and where applicable the Consumer Arbitration Rules in effect at the time the claim is filed. The seat of arbitration shall be San Diego, California. The decision of the arbitrator shall be final and binding and may be entered as judgment in any court having jurisdiction.

If a request to proceed in small claims court is made after an arbitration has been initiated, but before an arbitrator has been appointed, such arbitration shall be administratively closed. Any controversy over the small claims court’s jurisdiction shall be determined by the small claims court. If you or we challenge the small claims court election in your Dispute, and a court of competent jurisdiction determines that the small claims court election is unenforceable, then such election shall be severed from this Arbitration Agreement as to your Dispute. However, such court determination shall have no preclusive effect in another arbitration or court proceeding involving us and a different individual.

  1. Jury Trial Waiver. You and we waive any right to a jury trial. Except for the claims listed in Section 13.2, all Disputes must be resolved by arbitration under this Section 13.
  2. Mass Action Waiver. You and we may bring claims against each other only on an individual basis and waive any right to have a Dispute resolved as a class, collective, representative, or mass action. An arbitrator may award declaratory or injunctive relief only for the individual party seeking it and only as necessary to resolve that party’s claim. If a court makes a final, non-appealable determination that this limitation is invalid or unenforceable for a particular claim or request for relief, that claim or request alone will be severed from arbitration and pursued in the state or federal courts located in San Diego, California. This subsection does not prevent you or us from participating in a class-wide settlement.
  3. One-Year Filing Requirement. To the extent permitted by applicable Law, and notwithstanding any other statute of limitations, any claim or cause of action under these Terms must be filed within one (1) year after such claim or cause of action arose, or else that claim or cause of action will be permanently barred. The statute of limitations and any arbitration cost deadlines shall be tolled while the parties engage in the informal dispute resolution process required by Section 13.3 above
  4. Severability. Except as provided in Section 13.6, if any provision of this Arbitration Agreement is found to be illegal or unenforceable, that provision will be severed. The remaining provisions will remain in effect and will be interpreted to give effect, as closely as possible, to the parties’ original intent.
  5. Additional Terms for EU/EEA and UK Users
  6. Governing Law Carve-Out: If you are a consumer habitually resident in the EU/EEA or the United Kingdom, nothing in these Terms deprives you of the protection afforded by mandatory provisions of the law of the country in which you reside. In the event of a conflict between these Terms and the mandatory consumer protection laws of your country of residence, the mandatory provisions of your local law shall prevail.
  7. Arbitration and Class Action Waiver Carve-Out: The Arbitration Agreement and class action waiver in Section 13 do not apply to you if you are a consumer habitually resident in the EU/EEA or the United Kingdom, to the extent that such provisions would be unenforceable under the mandatory consumer protection laws of your jurisdiction. You retain the right to bring claims in the courts of your country of habitual residence, and nothing in these Terms limits your right to lodge a complaint with a data protection supervisory authority under the GDPR or UK GDPR.
  8. Right of Withdrawal: If you are a consumer in the EU/EEA, you may have a statutory right of withdrawal under the EU Consumer Rights Directive (Directive 2011/83/EU) as implemented in your country. You may cancel your subscription within 14 days of purchase without giving a reason. To exercise this right, contact us at [Email Address]. If you have expressly consented to the provision of services before the end of the withdrawal period and acknowledged that you would lose your right of withdrawal once the services are fully performed, the right of withdrawal may not apply. UK consumers may have similar rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
  9. Warranty and Liability Savings Clause: Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law. The warranty disclaimers and limitations of liability in these Terms apply only to the extent permitted by the laws of your jurisdiction. If you are a consumer in the EU/EEA or the United Kingdom, you have statutory rights that cannot be waived by contract, including statutory guarantees regarding the conformity of digital content and digital services under applicable EU or UK law.
  10. Age Requirements: If you are in the EU/EEA, you must meet the minimum age of digital consent in your country to use the Platform (which ranges from 13 to 16 depending on the Member State). If you are in the United Kingdom, you must be at least 13 years of age. If you are below the applicable age, you may only use the Platform with verifiable parental or guardian consent. For users in the United States, you must be at least 13 years of age to use the Platform.
  11. DSA Advertising Transparency: In connection with the EU Digital Services Act (Regulation (EU) 2022/2065), we do not use sensitive personal data categories (such as health, religion, political opinions, or sexual orientation) for the purpose of targeted advertising on the Platform. Where we display advertisements through third-party platforms such as Google or Meta, those platforms are responsible for their own DSA obligations. We will cooperate with platform-level transparency requirements as applicable.
  12. Data Protection: We process Personal Data in accordance with our Privacy Policy, which includes jurisdiction-specific provisions for EU/EEA users, UK users, and US/California residents. For details on the legal basis for processing, your data protection rights, international data transfers, and cookie consent, please refer to the Privacy Policy.
  13. California Privacy Rights

For information about how we handle personal data of California residents, including your rights under the California Civil Code Section 1798.83 and the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act of 2020 ("CCPA"), please refer to our Privacy Policy.

  1. Modifications to These Terms
  2. General Changes. We may update these Terms from time to time. We will post updated Terms at https://www.finalfinal.pro/terms-of-use. If the changes are material, we will notify you by email or by a prominent notice on the Platform. Your continued use of the Platform after the effective date constitutes acceptance, unless applicable law requires your express consent. Changes do not create a renewed opportunity to opt out of arbitration.
  3. Other Changes. We may also update our policies and guidelines by posting updated versions on the applicable page.
  4. Change Notifications. It is your responsibility to keep your email address up to date to receive any notices that we may send to you.
  5. Confidentiality and Feedback
  6. Our Confidential Information. The Platform and all non-public information about its design, functionality, technology, source code, algorithms, business plans, pricing, roadmaps, and related materials constitute our confidential information (“Confidential Information”). You agree not to disclose, publish, or disseminate our Confidential Information to any third party, and not to use it for any purpose other than as permitted under these Terms. This obligation does not apply to information that: (i) is or becomes publicly available through no fault of yours; (ii) was already known to you without restriction before we disclosed it; (iii) you independently developed without use of our Confidential Information; or (iv) you received from a third party without restriction and without breach of any obligation of confidentiality.
  7. Compelled Disclosure. If you are required by applicable law, regulation, or legal process to disclose our Confidential Information, you may do so to the extent required, provided that you give us reasonable prior notice (where legally permitted) so that we may seek a protective order or other remedy.
  8. Your Data. We handle your personal data in accordance with our Privacy Policy. Any other information you provide through the Platform is subject to the terms of our Privacy Policy and these Terms.
  9. Feedback and Analytics. You may choose to, but are not required to, provide suggestions, data, feedback and other information to us regarding possible improvements in the operation, functionality or use of the Platform and our related products or services ("Feedback"). You hereby grant to us a non-exclusive, perpetual, irrevocable, royalty-free and fully paid up license to use, copy, display, modify, create derivative works of and distribute any Feedback, and to make, have made, use, lease, sell, offer for sale, import, export or otherwise transfer any of our product or service offerings covered by any intellectual property rights in such Feedback, solely for the purpose of (i) improving the operation, functionality or use of our existing and future product and service offerings and commercializing such offerings; and (ii) publishing aggregated statistics about our Platform, provided that no data in any such publication can be used to specifically identify you, subject to the terms of our Privacy Policy.
  10. Entire Agreement

These Terms are the entire agreement between you and us regarding your use of the Platform and supersede all prior or contemporaneous agreements on that subject. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
